  • Delphi advisor when B&B TOOLS Invest AB acquires all shares in Arbesko-Gruppen Aktiebolag


    Delphi has advised B&B TOOLS Invest AB, a wholly-owned subsidiary of B&B TOOLS AB (publ) listed on NASDAQ Stockholm Mid Cap, in the acquisition of all shares in Arbesko-Gruppen Aktiebolag and nine (9) of its subsidiaries (“Arbesko-Gruppen”).

    Arbesko-Gruppen is a company founded in 1839, with its own research, product development and production operations for safety and work footwear for professionals. Arbesko-Gruppen have approximately 120 employees and a turnover of approximately SEK 200 million.

    Delphi’s team mainly consisted of Fredrik Mörner (responsible partner), assisted by Jeppa Persson (associate).

  • Delphi has assisted Lucendo Holding AB in the sale of Humany AB to Telia


    The law firm Delphi has assisted Lucendo Holding AB, the majority owner of the AI company Humany AB, in their sale of Humany to Telia.


    Humany is the market leader in the Nordic region in self-learning knowledge systems and is at the forefront of Web and AI (Artificial Intelligence) techniques. Humany works with web and AI technologies and creates smart self-help solutions in the digital customer meeting. Humany’s chatbot and smart FAQ is self-learning and adapts to user behavior on a website, thus providing more relevant answers to users' questions. Humany now becomes a part of Telia's contact center business, which enables companies and organizations to meet customers and citizens through telephony and digital channels in the same technical solution.

  • Delphi advises The Carlyle Group on its sale of BTI Studios to Altor


    Advokatfirman Delphi has acted as legal advisor to The Carlyle Group on its sale of BTI Studios to Altor. 

    Global alternative asset manager The Carlyle Group (NASDAQ: CG) and Altor Fund IV (“Altor”) today announced that they have signed a definitive agreement under which Carlyle will sell BTI Studios to Altor. The transaction is expected to close in Q3 2017, subject to customary closing conditions.

  • Anna Ulfsdotter Forssell, lawyer at the law firm Delphi, will chair a new government inquiry into public procurement


    The government has appointed an inquiry to investigate how the legal framework governing public procurement can be made simpler and more flexible, and to examine certain questions relating to the review process. On Tuesday, July 4, it was announced that Anna Ulfsdotter Forssell, partner and lawyer at the Delphi law firm, will lead the new investigation.

    - I am incredibly proud and humbled to have been appointed by the government to lead the inquiry. It is a formidable challenge. I believe simplifying the legislation and revising the rules governing reviews are the most pressing issues in the area of public procurement right now, says Anna Ulfsdotter Forssell, one of the highest ranked lawyers within this field. 

    As the government's special investigator, Anna Ulfsdotter Forssell and her team will have a number of questions to consider. These include fees for public procurement reviews and whether the losing party in a review proceeding should be obliged to pay the other party's litigation costs. The terms of reference further include an examination of the provisions governing contracts with a value below the EU public procurement thresholds and of measures that could potentially be taken to reduce the number of reviews. 

    The inquiry will deliver its report on June 15, 2018. Anna Ulfsdotter Forssell will also continue to work as a lawyer and to lead Delphi's EU, competition and public procurement law group.

  • Delphi has advised the Momentum Group on its acquisition of TriffiQ Företagsprofilering


    The law firm Delphi acted as legal advisor to the Momentum Group on the company's acquisition of 70 per cent of the shares in TriffiQ Företagsprofilering AB. Partner Mats Dahlberg led the Delphi transaction team, assisted by Matilda Karlsson, Emmy Falck and Katarina Häggqvist. 

    TriffiQ is a leading reseller of workwear and protective footwear in Stockholm. It generates annual revenue of approximately SEK 70 million with good profitability and has around 20 employees. TriffiQ will continue to operate as an independent niche company in accordance with the Momentum Group's philosophy of decentralised business responsibility.

  • Delphi advises EQT Ventures on investments in Min Doktor, Peltarion and Small Giant Games


    Delphi has advised EQT Ventures on investments in the digital healthcare company Min Doktor, the AI company Peltarion and the Finnish gaming company Small Giant Games. Delphi's team was headed by Managing Partner David Aversten and Senior Associate Emma Dansbo. The team also included Counsel Anna Ribenfors and Associate Jeppa Persson, among others.

  • Delphi Law Firm advisor to the sellers of Comenius Svenska AB


    Delphi has advised the sellers of Comenius Svenska AB in connection with the divestment of all shares in the company and its subsidiaries, Comenius Talent Management, to the Visma Group.

    Comenius, founded in 2001, is a Swedish market-leading IT company that offer its clients cloud-based talent management solutions. Comenius has an annual revenue of approximately SEK 71 million and has offices in Sweden, Oslo, London and San Francisco with approximately 50 employees, where Sweden, Norway and the UK are the largest markets.

  • Delphi Law Firm advises Geely Autogroup on new innovation centre in Sweden


    Geely Autogroup intends to strengthen its presence in Europe, and in Sweden. The establishment of CEVT AB and affiliated Geely businesses has remarkably contributed to a thriving automotive cluster at Lindholmen Science Park in Gothenburg that is a core for Geely’s future cutting edge technologies and design. The strategy going forward for Geely is to establish an even larger innovation capability in Gothenburg, through a new customized building that will house operations for CEVT AB, Geely Design Europe, LYNK & CO Marketing and Sales, and Geely Powertrain Engineering. In addition to named operations, it is the intention of Geely to offer other Chinese automotive companies to join the Geely Innovation Centre in Gothenburg.

    Geely, working on a Chinese market timescale, now wants to move forward with speed and implement said building, through acquisition of land, obtaining building rights, securing funding and is seeking a firm commitment from the City of Gothenburg to assist and support to the best of ability to make this centre a reality. The land lot Geely intends to acquire is a real estate located on Lindholmen in Gothenburg, Sweden. The development consists of several buildings to be erected. It is Geely’s intention to include both office buildings and accommodation as well as green areas. Geely has entered into a letter of intent with Älvstranden Utveckling AB to acquire the land. Furthermore, Geely has had a tender procedure for the construction of the buildings and a preferred builder is appointed. The Geely project is one of the largest in Gothenburg.

    The letter of intent between Geely and Gothenburg City was signed today (June 28, 2017) in Hangzhou, China. The Swedish prime minister Stefan Löfven witnessed the signing in person.

  • Delphi advisor in spin-off and separate listing of Momentum Group


    Momentum Group AB was today listed on Nasdaq Stockholm (Mid Cap). The law firm Delphi acted as legal advisor in the spin-off of Momentum Group from B&B TOOLS AB, itself listed on Nasdaq Stockholm (Mid Cap), and in the subsequent listing of Momentum Group on Nasdaq Stockholm.

    Delphi’s transaction team consisted of partner Mats Dahlberg, primarily assisted by Andreas Wirén, Marcus Halling and Matilda Karlsson. Sandra Lima was responsible for legal DD. A large number of lawyers at the firm’s Stockholm office were also involved.

    Handelsbanken acted as financial advisor in the transaction. 

    Delphi also assisted with the spin-off of AddLife from Addtech and the subsequent listing of AddLife on Nasdaq Stockholm in spring 2016 – making this the second major spin-off on Nasdaq Stockholm that Delphi has assisted with, which is pleasing,” said Mats Dahlberg, partner at Delphi.
