  • Delphi has assisted Amasten in acquisition in Ronneby

    Delphi has been legal advisor to Amasten in the acquisition of eight real properties in Ronneby with an underlying real estate value of SEK 248 million.

    The real properties consist of 19,659 square meters and the areas for lease include 286 apartments and a few commercial properties.

    Delphi’s team was led by partner Nina Persson, Olof Hagberg, Katarina Häggqvist, Linn Eriksson and Emelie Gustavsson.

  • Delphi advisor to IRLAB Therapeutics AB (publ) in connection with IPO of SEK 115 million and listing on Nasdaq First North Premier

    Delphi acted as advisor to IRLAB in connection with an IPO of approx. SEK 115 million as well as its listing on Nasdaq First North Premier. The first day of trading was 28 February 2017.

    IRLAB is a drug discovery and development company providing novel treatment for disorders of the brain, with focus on Parkinsons disease and dementia. IRLAB has two drug candidates, IRL752 and IRL790, for which clinical phase 1 studies have been completed, three projects in pre-clinical phase as well as a research program that aims at identifying further drug candidates.

    Delphi’s team consisted of inter alia Dag Fredlund (responsible partner), Annika Bergman, Hanne Kirnö and Kristina Lemke.

  • Delphi advisor when Industrifonden and Balderton invest in Soundtrack Your Brand

    Delphi has advised Stiftelsen Industrifonden and the British venture capital fund Balderton Capital in connection with their investments in Soundtrack Your Brand.

    The total investment round amounts to 22 million US-dollars. The financing round also saw participation from several current shareholders including Telia Company, Northzone, Creandum, H&M’s family vehicle HMP and Jörg Mohaupt.

    Soundtrack Your Brand is a supplier of a streaming service in 100 countries around the world that allows stores and restaurants to play music for customers. The Swedish music service Spotify, which focuses on the consumer market, is a major shareholder in Soundtrack Your Brand.

    Responsible partner Anders Lindström led the Delphi team and was assisted primarily by Emma Dansbo and Caroline Sundberg (senior associates) and Jeppa Persson (associate). In addition, a large number of lawyers at Delphi were involved in the transaction.

  • Delphi advisor to NIBE Industrier AB (publ) on its acquisition of CGC Group of Companies Inc.

    Delphi has been legal advisor to NIBE Industrier AB (publ) in connection with its acquisition of 50% of the shares in the Canadian heat pump company CGC Group of Companies Inc., with an option to acquire the remaining 50% of the shares no later than spring 2022.

    CGC was founded in 1995 and is headquartered in Mississauga, just outside Toronto, with its manufacturing facility in the nearby town of Fergus.

    Delphi advised NIBE through the responsible partner Per-Ivar Svensson, Micaela Weije and Therese Jönsson, with assistance from the Canadian law firm Cassels Brock.

The real properties consist of 16 351 square metres and the areas for lease include 215 apartments and a few commercial properties.

  • Delphi has assisted NIBE Industrier AB (publ) in Phase II merger clearance from the Swedish Competition Authority for its acquisition of the main parts of the Enertech Group

    Delphi has assisted NIBE Industrier AB in the merger filing and the subsequent Phase II investigation as regards the acquisition of the main parts of British-owned Enertech Group, which resulted in that the Swedish Competition Authority on 27 January 2017 decided to clear the concentration since the investigation showed that the merger did not significantly impede effective competition in the market for heating systems.

    Among the many well-known brands in the acquired group, the most well-known is CTC. The acquired group offers a wide range of geothermal and air/water heat pumps, solar energy and biofuel products, as well as traditional oil and gas burners. The acquired group has around 460 employees and sales amounted to GBP 72.7 million. The acquisition includes operations in six European countries and will be part of the NIBE Climate Solutions business area. The acquisition was subject to approval from antitrust authorities in Sweden and Germany.

    Delphi advised in the competition assessment through partners Anders Jemail and Elisabeth Eklund. Niklas Strand, RBB Economics, assisted with competition economic analysis.

  • Delphi partners are the legal counsels’ favorites within IT law in the Client Choice Awards 2017

    Agnes Hammarstrand and Agne Lindberg have been awarded the Client Choice Awards 2017 within IT law. Client Choice is an international survey conducted by the International Law Office and Lexology.

    The award is given to lawyers around the world who distinguish themselves through their extraordinary ability to add value to the client's business and it is legal counsels who have nominated and ranked lawyers around the world. Read more about Client Choice's survey here.

    Agnes and Agne are two of Sweden's leading lawyers within IT and telecommunications. Agnes is appointed as the clients’ choice within the category Telecommunications. Agnes is specialized within IT law and has especially made herself a name within e-commerce, consumer law and digital law.

  • Delphi advises Aligera AB (publ) in connection with listing on Nasdaq First North

    Delphi has been legal advisor to Aligera AB (publ) in conjunction with the listing of its shares on Nasdaq First North. First day of trading is Wednesday, 1 February 2016.

    Aligera is a company focused on wind turbines in southern and central Sweden and operates within three segments: acquisition of operational and turnkey wind turbine plants, efficient and stable electricity production and sale of electricity and electricity certificates. The company currently has 15 wind turbines with a production of approximately 100GWh and a shareholding of approximately 20 % in Slitevind AB, which in turn has its own production of about 150GWh. Aligera’s business strategy is focused on growth - to significantly expand the current portfolio through acquisitions of wind turbines on the secondary market with documented production history. The intention is to grow through acquisitions and not through planning and new construction.

    Pareto Securities AB is acting as market maker and FNCA AB is Certified Adviser. Legal advisor is Advokatfirman Delphi and PWC is auditor.

  • Delphi once again named Law Firm of the Year

    1/25/2017

    Delphi has for the second year in a row been awarded in Regi’s annual quality and industry survey – Law Firm of the Year, Sweden’s largest client survey for law firms specialising in commercial law.

    Over 1000 buyers of legal services participated in the survey. The result is based on a total of 13 areas in Regi’s Satisfied Client Index. These include the firm’s knowledge of the problems inherent to a matter, their proactivity, availability and business value added. The winner is the firm that achieves the highest average score from its clients, which means that Delphi has the most satisfied clients among Sweden’s largest law firms.

    “We are extremely pleased and proud of once again be awarded Law Firm of the Year
    SEK 200 million. That we can say we have the most satisfied clients among the largest law firms in Sweden is really a proof that hard work pays off”, says David Aversten, managing partner at Delphi.
