    Hantverksdata, the leading provider of business systems developed for craftsmen in the Nordic region, with Adelis as new majority owner, has acquired Orderstyrning headquartered in Copenhagen. 

    Orderstyrning is the market leader in Denmark. Hantverksdata and Orderstyrning have approximately 50,000 customers combined, thereby becoming an even stronger player in the Nordic region.

  • Delphi advises ITRS group on OP5 acquisition


    Delphi have advised the ITRS group (ITRS), the leading provider of real-time monitoring and analytics for financial services, on Swedish law aspects of its acquisition of OP5. The OP5 group is a global leader in providing IT monitoring and log analysis technology, with headquarters in Stockholm and subsidiaries in the EU and US. ITRS is owned by global growth private equity firm TA Associates.

    The Delphi team was led primarily by M&A partner Fredrik Mörner and senior associate Hannah Gröndahl. Banking & Finance partner Berndt Pettersson advised on Swedish law financing aspects. Additional transactions support was provided by M&A associates Matilda Karlsson, Clara Jarbrand, Sophie Leifland, Jenny Lindén and Amanda Wiggh. Several members of Delphi’s Business Advisory team provided significant area-specific expertise in IT, including senior associate Dahae Roland and associates Linus Larsén and Erik Ålander. Associate Emmy Falck advised on employment law aspects.

  • Delphi advisor to NIBE in the acquisition of EMIN Group in Turkey/Serbia


    Advokatfirman Delphi has assisted NIBE Industrier AB in the acquisition of EMIN Group whose main products are coupling systems for fluids sold to manufacturers of energy equipment. NIBE Industrier AB has signed an agreement to acquire 51% of the EMIN Group and has a call option to acquire an additional 29% in 2025.

    Delphi has been lead counsel in the acquisition and cooperated with the law firms Pekin & Bayar Law Firm, Turkey and Karanovic & Partners, Serbia.

  • Delphi and Avance Attorneys assist AddLife Development AB with the acquisition of Väinö Korpinen Oy


    Delphi, together with Avance Attorneys, has assisted AddLife Development AB with acquiring Väinö Korpinen Oy. Väinö Korpinen Oy has successfully established itself as the leading supplier on the Finnish market for accessible bathroom solutions. All bathroom solutions and products are developed in close cooperation between designers and care professionals. The products’ functionality, materials, design and placement in the bathroom are all the result of thorough testing. The target group for the company’s solutions comprises individuals with special needs, including advanced age, people with disabilities and people with dementia.

    The company currently sells its products primarily to the public sector and private care providers in Finland. The company has 15 employees and sales of about EUR 8 million. The acquisition fits squarely in with the Addlife group’s strategy for continued expansion in the home care sector and comprises an excellent complement to completed acquisitions in the area of home care.

  • Delphi advisor to Addtech Nordic AB upon acquisition of Prisma Teknik AB and Prisma Light AB


    Delphi has advised Addtech Nordic AB, a wholly-owned subsidiary of Addtech AB (publ), listed on NASDAQ Stockholm Mid Cap, upon acquisition of all shares in Prisma Teknik AB and Prisma Light AB.

    Prisma Teknik AB is the supplier of advanced transition signals, arc contacts for demanding environments and measuring instruments for measuring crankshaft skew. Prisma Light AB develops and manufactures LED lighting for outdoor environments. The companies have 27 employees and have a turnover of approximately SEK 70 million.

  • Elisabeth Eklund has once again been appointed as Non-Governmental Advisor for the Swedish Competition Authority within the International Competition Network


    Elisabeth Eklund, Partner who is heading Delphi’s competition law practice, has once again been appointed as Non-Governmental Advisor for the Swedish Competition Authority within the International Competition Network, ICN, in the working group for Unilateral Conduct during the coming year.

    Elisabeth has actively participated in the work of ICN for the last three years and was one of the working-group’s panelists at the ICN’s Annual Conference in New Delhi in April 2018.

    Elisabeth Eklund is ranked by several international ranking institutes as one of the leading competition lawyers in Sweden. Elisabeth has extensive experience of all forms of competition law advice. She advises companies in various industries in abuse of dominance cases, cartel investigation and vertical restrictions. She also handles merger control, dawn raids, and is regularly counsel in competition litigations and arbitrations as well as regulatory proceedings with a particular focus on pharmaceuticals, medical devices, fast-moving consumer goods, waste disposal, transports, food and energy. She is also a guest lecturer at Stockholm University and is a frequent speaker at conferences and has published a number of articles in competition law journals.

  • Delphi advisor to the owners of Zetup AB in connection with a transaction within the IT-sector


    Delphi has advised the sellers of Zetup AB in connection with the divestment of the company’s shares to FSN Capital V.

    Zetup AB is a Swedish IT-company with the aim to render their customers IT-solutions more effective. Zetup AB has a revenue of approximately SEK 130 million, and has approximately 100 employees. In connection with the acquisition of Zetup AB, FSN Capital has also entered into contracts to acquire Office IT-Partner and Dicom, with the aim to form a consolidated group and become a leader on the Nordic market within IT-infrastructure, cloud based services and digitalization.

    The transaction is subject to customary terms and conditions and is expected to be completed at the end of June.

  • Delphi represents Adelis in the acquisition of Hantverksdata


    Hantverksdata is a leading provider of administrative software developed for craftsmen in the Nordic region. 

    The company is leading within the electricity, HVAC, painting and glass segments with its modular system, but also active within other service and contracting segments such as alarms, flooring, plating, refrigeration, elevators and construction. Hantverksdata has approx. 4,000 corporate customers and 35,000 users.

    Adelis is an active partner in creating value in medium sized Nordic companies. Adelis was founded with the goal of building the leading middle market private equity firm in the Nordics. Since raising its first fund in 2013, Adelis has been one of the most active investors in the Nordic middle-market, with 15 platform investments and more than 40 add-on acquisitions. Adelis manages approx. €1 billion in capital.

  • Delphi represents Doro in the acquisition of Welbeing


    To expand its telecare business and strengthen the platform and service revenue, Doro AB (publ) acquires Welbeing, based in Eastbourne, UK. 

    Doro will initially pay approximately 130 MSEK, equal to eight times estimated EBITDA for the financial year 2017/2018. 85% of the initial purchase price will be paid in cash and 15% in newly issued shares in Doro. In addition, the sellers are entitled to receive an additional consideration if Welbeing’s EBITDA for the financial year 2017/2018, which ends on 30 September 2018, exceeds estimated EBITDA. The final acquisition amount will be calculated and published after the end of Q3-2018.

    Welbeing is one of the leading telecare companies in the UK. The company services around 75 000 connections from various locations of which 21 000 are private customers. Organic growth has been significant, thanks to strong management and a track record of winning tenders and commercial bids. The number of employees is approximately 180. Revenue for the financial year ended September, 2017 was 7,6 MGBP (approx. 90 MSEK) of which the main part is from services.

  • Delphi advisor to Ardena in the acquisition of Syntagon Invest AB


    Delphi has advised the Ardena group (Ardena) in the acquisition of Syntagon Invest AB and its subsidiaries Syntagon AB and Syntagon Baltic (jointly referred to as Syntagon).

    Syntagon was established in 1999 and has sites in Sweden and Latvia with approximately 30 employees. Syntagon offers a comprehensive development package for Life Science ingredients and GMP manufacturing from early development to commercial manufacturing.

    Ardena is a portfolio company of Mentha Capital and was formed in 2017, following the merging of three companies with complementary capabilities: Pharmavize in Belgium, Crystallics and Analytical Biochemical Laboratory (ABL) in the Netherlands. After the acquisitions of Syntagon and ChemConnection in 2018, Ardena now employs more than 225 scientists.
