Delphi advisor when The Intertain Group Limited acquires Vera&John (Dumarca Holdings PLC)

Delphi has been legal advisor to The Intertain Group Limited, which is listed on the Toronto Stock Exchange (TSX), in connection with its acquisition of all shares in the online casino company Dumarca Holdings PLC (the Malta-based parent company of the Vera&John Group). The purchase price amounts to a maximum of approximately SEK 840 million (EUR 89.1 million) on a cash and debt free basis. The purchase price consisted of approximately SEK 500 million (EUR 52.6 million) in cash and about 5 million newly issued Intertain shares at a value of about 343 million (approximately EUR 36.5 million).

Intertain is a Canadian holding company that provides wagering focused entertainment to a global consumer base. Through its operating subsidiaries Intertain currently offers casino, bingo and poker games to its customers through InterCasino, InterPoker, Costa Bingo, Vera&John, Vera&Juan and Vera&John Social, to mention a few. Intertain is actively pursuing further expansion and acquisitions to build up its gaming product portfolio.
